# Terms and Conditions of Sale Last updated: April 2024 · Applicable to all orders placed with BOXIFY, S.L. These terms govern the commercial relationship between **BOXIFY, S.L.** and its customers for the purchase of corporate merchandising products, both customised and stock items. Placing any order implies full and unconditional acceptance of these terms. ## 1. Placing orders Orders must be placed in writing through Boxify's official channels: website, email, or any other medium enabled by us. We accept no liability for issues arising from orders communicated through unofficial channels. An order will be considered confirmed once the customer has received our written acceptance and, where applicable, has paid the requested advance payment. **Important note:** For customised orders, the customer is solely responsible for verifying that the design, text, and specifications submitted are correct before giving final approval. Boxify accepts no liability for errors in files provided by the customer. ## 3. Products and prices Products shown in the catalogue or on the website may present minor variations in colour, texture or finish compared to the final result. We recommend requesting a physical sample before confirming large-volume orders when the exact finish is critical. All published prices are expressed in **euros (€) excluding VAT**, unless expressly stated otherwise. Boxify reserves the right to modify its rates at any time; the applicable price will always be the one in force at the time of order confirmation. Typographical errors in published prices do not create an obligation to sell at that price. Boxify will notify the customer of the error, who may confirm the order at the correct price or cancel it at no charge. ## 4. Customised products Boxify manufactures made-to-order products according to customer specifications: logos, texts, corporate colours, sizes, materials and packaging. These customisations imply the following specific conditions: - **Print proof:** for high-value orders, Boxify may provide a digital or physical proof before starting production. Written approval from the customer releases Boxify from liability for design errors previously validated. - **Quantity tolerance:** a variation of **±5%** on the units ordered is accepted as the industry standard production margin. Invoicing will reflect the units actually delivered. - **No returns:** customised products are not eligible for return, except for manufacturing defects or errors attributable to Boxify. See [Returns Policy](/politica-de-devoluciones?locale=en). ## 5. Order cancellation The customer may cancel their order at no cost if production has not yet begun. Once work has started, the following minimum charges will apply: - **Design and artwork preparation phase:** €55 + VAT. - **Production underway:** cost proportional to the phase reached, to be determined on a case-by-case basis. - **Production completed:** full order amount. ## 6. Delivery times The timelines indicated in the quote or order confirmation are approximate and are counted in **business days** from design approval and receipt of payment (or advance payment, as applicable). - Stock products without customisation: 24–72 hours. - Products with standard customisation: 7–15 business days. - Products with special customisation or large volume: as per quote. Boxify accepts no liability for delays due to causes beyond its control (strikes, transport incidents, force majeure). In the event of a significant delay, the customer will be informed as soon as possible. ## 7. Payment terms Unless expressly agreed in writing, the payment terms are as follows: - Customised orders: **50% advance payment** upon order confirmation and the remaining 50% before dispatch. - Customers with an approved current account: as per individually agreed terms. Late payment will accrue default interest in accordance with Law 3/2004 on combating late payment in commercial transactions. Boxify reserves the right to suspend ongoing orders in the event of outstanding non-payments. ## 8. Intellectual property and use of trademarks The customer guarantees that they hold all necessary rights to logos, images, texts and any other graphic elements provided for product customisation, indemnifying Boxify against any third-party claims arising from improper use of such elements. Boxify may use images of manufactured products for portfolio, catalogue or commercial promotion purposes, unless the customer expressly instructs otherwise before order confirmation. ## 9. Limitation of liability Boxify's liability to the customer is limited in all cases to the amount of the affected order. Boxify accepts no liability for indirect damages, loss of business or losses arising from delays or defects not attributable to gross negligence on our part. ## 10. Data protection Personal data provided during the purchase process will be processed in accordance with the [General Data Protection Regulation (GDPR)](/politica-de-privacidad?locale=en) and our Privacy Policy. We will not share data with third parties except where legally required or necessary for order fulfilment (transport, manufacturing). ## 11. Applicable law and jurisdiction These terms are governed by Spanish law. For any dispute arising from the commercial relationship, the parties submit to the courts and tribunals of Boxify's registered address, expressly waiving any other jurisdiction that might apply to them. ### Do you have any questions?
